Terms of Service & Engineering Standards

Effective Date: January 1, 2025. These Terms govern commercial engagements, software delivery standards, intellectual property ownership, and support SLAs between IYX Technology (IYXDEV) and our enterprise clients.

Ironclad Principle: 100% Intellectual Property Ownership & Zero Lock-in

We fundamentally oppose vendor lock-in. Upon milestone acceptance and invoice settlement, our clients hold 100% independent intellectual property ownership over all delivered custom source code, AI agent pipelines, system prompts, database schemas, and IaC deployment configurations. Everything runs on your infrastructure with full source code hand-off.

1. Delivery Milestones & Acceptance Criteria

We work in transparent, sprint-driven phases:

  1. 48-Hour Architecture Evaluation: Clear feasibility roadmap, technology stack recommendation, and deterministic risk mitigation strategy.
  2. Milestone Canary Staging: Bi-weekly demonstrable builds and canary execution logs on isolated staging environments.
  3. Acceptance Benchmarking: Rigorous unit test coverage, load stress testing, latency P95 evaluation, and LLM hallucination benchmark guardrails.

2. SLA, Warranty & Ongoing Maintenance

For all deployed production software and agentic workflows:

  • Warranty Period: Standard free bug-fixing and dependency maintenance period post-signoff.
  • Critical Incident Escalation: For P0 production outages, designated technical architects intervene within a guaranteed 2-hour response window.
  • Model Drift & API Governance: Continuous telemetry, guardrail tuning, and automated adaptation when foundational LLM provider APIs update.

3. Client Collaboration & Safe Guardrails

Clients provide necessary API credentials and sandbox data in compliant formats. IYX Technology rigorously enforces prompt injection defenses, role-based boundary separation, and Human-in-the-Loop approval gates for all destructive or high-value transactional agent operations.

4. Limitation of Liability & Dispute Resolution

Except as expressly defined in individual Master Service Agreements (MSAs), neither party shall be liable for indirect or consequential damages resulting from upstream cloud outages or force majeure events. Any disputes shall be resolved primarily through friendly consultation and binding commercial arbitration.
